Bella Software Pvt. Ltd. provides web application development, mobile app development, AI integration, UI/UX design, communication material design, digital transformation consulting, hosting, and support & maintenance services to businesses and individuals.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

All payments for our services are due according to the payment terms specified in the individual agreements. Unless otherwise specified, all fees are quoted in Indian Rupees (INR) and are non-refundable.

We may use third-party payment processors to process payments made to us. Your use of such third-party payment processing services is subject to the terms and conditions of such third parties, and we are not responsible for the actions or inactions of such third parties.

8. Disclaimer of Warranties

Your use of our Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, or (iii) the results that may be obtained from the use of the Services will be accurate or reliable.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Bella Software Pvt. Ltd., its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use or inability to use, the Services, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Bella Software Pvt. Ltd., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in Ernakulam, Kerala, India, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

For users in the European Union, these Terms are governed by the laws of your country of residence, and you can bring legal proceedings in respect of the services in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

12. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 of India.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
